Terms of Service - Locally There
This Terms of Service Agreement (the “Agreement”) sets forth the terms and conditions on which the Client (the “Client”) has engaged Locally There to complete any service (the “Services”) as outlined herein. This is a legally binding agreement between the Client and Locally There. By becoming a Locally There client, you agree to be legally bound by the terms and conditions outlined in this agreement.
This agreement may be amended at the sole discretion of Locally There. An email communication sent to the Client’s last known email address will be deemed sufficient notice of any changes in this agreement.
The “effective date” of this agreement is the date the Client pays for their first order for services to Locally There
1. Services:
Locally There will provide services to the Client as outlined on the Locally There website, www.Locallythere.co.uk.
2. Locally There Obligations:
2.1 Locally There will provide services to the Client in accordance with Locally There policies and procedures.
2.2 Locally There reserves the right to reject any Client or the service it provides to a Client at their sole discretion.
2.3 Locally There will be responsible for all aspects of providing the services unless stated otherwise.
2.4 All Locally There rules, pricing, policies and operating procedures concerning privacy, customer service, and all other aspects of the services will apply.
2.5 Locally There may change its pricing, policies and operating procedures at its sole discretion. Existing clients will be notified at least 30 days in advance of any changes made.
3. Fee and Payment:
3.1 All fees for services provided to the Client are due and payable in full on the due date, as outlined in a recurring payment schedule. This includes monthly, quarterly, or semi-annually, prior to the provision of the services.
3.2 Once Locally There reaches the legal threshold, all charges will be subject to UK VAT law.
3.2 A valid credit or debit card shall remain securely on file with Go Cardless to cover recurring service charges. Locally There do not hold credit or debit card details on file.
3.3 All charges for the services provided by Locally There will be paid in advance. If a card payment fails, Locally There will automatically notify the client and make two further attempts at payment within seven days. If payment still hasn’t been received, the related service provided by Locally There will stop immediately unless an agreement has been reached.
3.4 Refund Policy: Except in the case of a material breach of this agreement by Locally There. Locally There does not issue refunds of any fees for any reason beyond the first 14 days of the Client’s effective date.
3.5 The 90-day money-back guarantee applies to the Google Up service offered by Locally There and is only applicable to monthly payments. Any one-off costs, such as Google Business profile optimisation, are not covered. The Client may request the 90-day money-back guarantee, provided the following points are met.
3.5.1 The Client and Locally There has not seen any improvement in the Client’s Google Business Profile standing within the first 90 days.
3.5.2 The Client has received at least one customer review within each 30 days from the start of the service.
3.5.3 The Client requests the money-back guarantee within 90 to 104 days from service inception.
3.5.4 All payments for the service are up to date.
3.6 Cancellation Policy: The Client may cancel a service by emailing a cancellation request to [email protected], stating the reason for cancellation.
3.7 Returning clients: If a client chooses to return to the service within 6 months of cancellation, the service agreed upon will continue as if the client were an existing one. If a client chooses to return after 6 months or under a new business name, then this will be treated as a new client.
3.8 Our ‘Google Up’ package advertised pricing is based over 12 months. £75 x 12 =£900 / 365 = £2.45. The actual price a Client pays should they retain the service for 12 months is £99 x 1 + £70 x 11 = £869.
4. Service Provided:
4.1 The service offered by Locally There will begin once the initial payment request has been received.
4.2 Publishing Software: Locally There may use third-party social media publishing software to schedule and publish the Client’s social media posts. As such, Locally There has no control over any issues that may occasionally be caused by third-party publishing software. If a problem caused by third-party publishing software affects the services provided by Locally There to the Client, the Client agrees not to hold Locally There liable.
4.3 Profile disconnections: It is the client’s responsibility to ensure all Google Business Profiles remain connected to maintain the service provided.
4.4 Locally There has no control over issues that may occur concerning profile disconnections.
4.5 If any of the Client’s Google Business Profiles become disconnected from the Google portal, the Client will be notified via email to reconnect their chosen profiles if the Client fails to reconnect their profiles to the Google portal. Locally There, the service will resume once the Client reconnects their chosen profiles, provided there has been no impact on the payment schedule.
4.6 The Client is encouraged to regularly access their Google Business profile portal to review new content, provide feedback, and report any issues that may occur.
4.7 Locally There reserves the right to repurpose content.
4.8 Locally There will only use logos and testimonials provided by the Client
4.9 Locally There offer ‘Competitor Guard’. This service guarantees that Locally There will not provide its service to another business in the same industry, where the registered office or physical locations are within 1 mile of a Business that already uses the service. Locally There, will use Google Maps to determine the distance between postcodes.
4.10 Locally There offers all Clients a WhatsApp service, whereby clients can contact Locally There to share images of their work, services, or ask any questions. By using this service, Locally There is permitted to use any images provided to Locally There to update a Client’s Google My Business Profile.
4.10.1 Locally There, will only respond to clients within their working hours (Monday to Friday, 08:00 – 17:00, excluding UK Bank holidays). This includes SMS and voice calls.
5. Warranty Disclaimers:
Locally There, expressly disclaims any warranties regarding or related to this agreement, the services, or any materials or assistance provided to the Client, express or implied, including without limitation, warranties of merchantability, course of performance or dealing, trade practice, title, non-infringement, and fitness for a particular purpose.
6. Indemnity:
The Client will indemnify and hold harmless Locally There and its customers, suppliers, directors, officers, agents, and employees from and against any losses, costs, damages, liabilities, and expenses (including, without limitation, reasonable solicitor fees) arising out of or relating to any breach by the Client of any of the terms of this agreement.
7. Limitation of Liability:
Locally There shall not be liable to the client or any entity or person claiming through or under the client for any loss of profit or income or other indirect, consequential, incidental, or special damages, whether in an action for contract or tort, in connection with this agreement, even if Locally There has been advised of the possibility of such damages. Under no circumstances shall Locally There’s liability to the client hereunder exceed the amount paid to Locally There by the client for the previous month of services. This limit is cumulative, and the existence of multiple claims will not increase the limit.
